9. Limitation of Liability
To the fullest extent permitted by applicable law, Felloni Lateral Office will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of the Site or reliance on educational materials.
To the extent that liability cannot be excluded, our aggregate liability for claims arising out of or relating to the Site or these Terms will be limited to the greater of: (a) the amount you paid to us in the 12 months prior to the event giving rise to the claim, or (b) CAD $100.
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify and hold harmless Felloni Lateral Office, its directors, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Site, (b) your submissions, (c) your violation of these Terms, or (d) your infringement of any rights of another person or entity.

13. Dispute Resolution and Governing Law (Canada)
If a dispute arises, you agree to contact us first and allow a 30-day period to attempt an informal resolution. You can reach us using the contact details in Section 18.
These Terms and any dispute arising out of or relating to the Site will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law rules.
Subject to applicable consumer protection laws, you agree that the courts located in Toronto, Ontario will have exclusive jurisdiction over any dispute or claim arising out of or relating to these Terms or the Site.
14. Termination
We may suspend or terminate your access to the Site at any time if we reasonably believe you have violated these Terms or if your use creates a security risk. You may stop using the Site at any time.
Sections that by their nature should survive termination will survive, including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and Contact.
15. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable and will not affect the validity and enforceability of the remaining provisions.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Felloni Lateral Office regarding your use of the Site and supersede any prior or contemporaneous communications on the subject.
17. Assignment and No Waiver
We may assign or transfer our rights and obligations under these Terms as part of a business restructuring, merger, acquisition, or asset sale. You may not assign these Terms without our prior written consent.
Our failure to enforce any provision of these Terms will not be deemed a waiver of that provision or any other provision.
